FAMILY NURSE PRACTITIONER SERVICES
Section 1 Full-time Basis. Employee will work on a full-time basis, as described herein:
(a) Employee shall devote his/her best effort and his/her full professional time, skill and labor to the performance of his/her duties as an Employee of Clinic in carrying out the duties and responsibilities set forth in this Agreement. Employee agrees to devote his/her Full-Time and best abilities to the duties and responsibilities set forth in this Agreement and to support the purposes and obligations of Clinic. “Full-Time” shall be defined as the provision of Employee professional services primarily located in Clinic’s Morgan City, Louisiana location, pursuant to the following work schedule:
Schedule: Monday through Thursday 7:30 am – 5:30 pm
Friday 8:00 am – 12:00 pm
(b) Employee shall work such additional days and/or hours as Clinic may reasonably request, after consultation with Employee. All adjustments to Employee’s schedule may only be made by Clinic. Exceptions to Employee’s work schedule will be made by Clinic from time to time based on needs of Clinic and recognized holidays, as determined by Clinic. Clinic shall have the sole, exclusive and final authority to determine location, hours and appointment scheduling for Employee and Clinic’s facilities.
(c) Employee shall provide medical services within the fullest scope of Employee’s license and expertise, to Clinic’s patients, at times and places designated by Clinic.
(d) Employee may not terminate a patient from Clinic, unless approved by the CEO. All documentation regarding patient termination shall come from the CEO and countersigned by Employee.
(e) Employee shall examine and treat, within the Employee’s full scope of practice and expertise, all patients which Clinic may assign to Employee and shall perform all ancillary services related thereto as Clinic may reasonably request.
Section 2 Employee Services
Employee agrees to provide the following services (“Services”) to Clinic, as more fully set forth below:
(a) Employee shall provide to patients, at times and places designated by Clinic, medical services within the scope of Employee’s license and expertise, which shall including “on-call” coverage. On-call coverage requires provider to be available, via phone, to the Clinic’s after-hours call coverage program, in the event additional information is needed from Employee for the Clinic’s assigned after-hours call coverage provider to assist patients.
(b) Employee shall maintain an office practice available to see patients Monday through Friday at office hours set by Clinic. Exceptions will be made by Clinic, from time to time, based on organizational need, capacity and recognized holidays, as determined by Clinic.
(c) Employee shall allocate his/her time among such duties as are customary of an Advanced Practice Registered Nurse –Family Nurse Practitioner in a practice specializing in Family medicine.
(d) Employee shall also meet or exceed quality metrics to be determined by the Employee in collaboration with the Employee, which quality metrics shall be incorporated as if set forth fully herein.(d) The Parties hereto agree to use their best efforts to market and grow specific primary care services at Clinic, with the mutual intention of better and more conveniently serving the community. It is the intention of Clinic to develop primary and preventative care services in an efficient, convenient and cost effective manner. The parties mutually agree to work to improve primary care services in the community and in doing so, recognize that it may be necessary to expand the duties of Employee to include the mentorship/directorship of any such Nurse Practitioner program, upon mutual agreement of the Parties in accordance with the provisions contained in Section 11 of this Agreement for the Modification of this Agreement.
(e) Employee shall serve on such committees and shall perform such supervisory/collaborative, administrative and/or professional duties as Clinic shall direct, provided that Employee shall remain actively engaged in the full time practice of Family medicine.
(f) Clinic shall provide office and clinical space as well as appropriate equipment necessary to provide Employee with treatment capabilities specific to generally recognized standards of Employee’s profession. Specific equipment lease or purchase will be at the sole discretion of Clinic. The parties hereto shall determine in consultation of one to the other equipment needs necessary for Employee to conduct Employee’s practice.
(g) Employee shall be responsible for cooperating in billing and collection activities by, among other thing, providing full and complete documentation in a timely manner that is consistent with requirements under applicable procedure and diagnosis codes, maintaining charts and records in accordance with applicable legal and professional standards, and in accordance with Clinic policies, by providing support and explanation for billing and claims to third party payers, and by employing proper codes and other identifying information to ensure the accuracy of procedure descriptions and codes. All such records shall comply with the regulations and instructions issued under Medicare, Medicaid, or any similar third party payer requirements. Employee’s failure to properly discharge this function shall constitute a breach of this Agreement and shall provide a basis for termination by Clinic; provided, however, that Employee shall have an opportunity to cure any such defect of performance, unless defects of performance under this Section are recurring.
(h) Employee shall not, under any circumstances, provide any medical or medically-related services to an entity not affiliated with Clinic, other than under the terms of this Agreement without the prior written consent of Clinic. Participation in matters required by law (e.g., Medical Review Panels, depositions, etc.), teaching and expert witness services shall not be considered to be medical or medically-related services subject to this Agreement. As of the Effective Date of this Agreement, Employee may participate in the following activities, outside of regularly scheduled work hours:

Federally Qualified Health Centers participate in the National Health Service Corps (NHSC) Loan Repayment Program. Clinicians who serve at least two years full-time at an FQHC can receive up to $75,000 in tax-free loan repayment (or up to $100,000 in some Substance Use Disorder Workforce categories). Half-time service is also eligible at a reduced award. Eligibility extends to NPs, PAs, CNMs, CRNAs, and physicians with qualifying education debt.
